This Software License Agreement ("Agreement") is made and entered into by and between XTP Share Team ("Licensor") and the user ("Licensee"). This Agreement sets forth the terms and conditions under which the Licensee may use the XTP SHARE ("Software") provided by the Licensor.
The Licensor grants the Licensee a non-exclusive, non-transferable, limited license to use the Software solely for the purpose of transferring files as intended by the Software, in accordance with the terms of this Agreement.
The Software is licensed, not sold. The Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. The Licensee acknowledges that the Software contains proprietary and confidential information of the Licensor and agrees to maintain the confidentiality of such information.
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will be error-free or that its operation will be uninterrupted.
In no event shall the Licensor be liable for any indirect, incidental, special, or consequential damages, or any loss of profits or revenues, arising out of or in connection with the use or inability to use the Software. The Licensor's total liability under this Agreement, whether in contract, tort, or otherwise, shall not exceed the amount paid by the Licensee for the Software.
This Agreement is effective until terminated. The Licensee may terminate this Agreement at any time by discontinuing use of the Software and destroying all copies of the Software in their possession. The Licensor may terminate this Agreement immediately if the Licensee breaches any of the terms and conditions of this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies of the Software.
The Licensor is committed to protecting the privacy of the Licensee. The Software collects and uses personal information solely for the purpose of providing the file transfer service. The Licensor implements appropriate technical and organizational measures to ensure the security of the data.
The Licensee agrees to use the Software in compliance with all applicable local, state, national, and international laws and regulations. The Licensee shall not use the Software for any unlawful or prohibited activities.
This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the laws of the European Union (including the laws of its member states), without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be resolved in the courts of the United States of America or the courts of the European Union, as applicable.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
The Licensor reserves the right to amend or modify this Agreement at any time by providing notice to the Licensee. Continued use of the Software following any such amendment shall constitute the Licensee's acceptance of the amended terms.
By using the Software, the Licensee agrees to be bound by the terms and conditions of this Agreement.
